Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern your access to and use of the MakeMake platform operated by MakeMake AI Ltd, a company registered in Ireland ("MakeMake", "we", "us").

By registering for an account or using the platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the platform.

If you are registering on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Definitions

  • "Platform" — the MakeMake website at makemakehq.com and all associated services.
  • "Brand" — a company or individual who registers as a brand to post Briefs and connect with Creators.
  • "Creator" — an individual who registers as a creator to apply to Briefs and collaborate with Brands.
  • "Brief" — a campaign or collaboration opportunity posted by a Brand on the Platform.
  • "Application" — a Creator's expression of interest in a Brief, including a cover note and proposed rate.
  • "Campaign" — a collaboration agreed between a Brand and a Creator following approval of an Application.
  • "Subscription" — a Brand's paid access to the Platform, billed monthly.

3. Eligibility & Registration

You must be at least 18 years old to use the Platform. By registering, you represent and warrant that you meet this requirement.

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

MakeMake reserves the right to refuse registration or terminate accounts at its discretion, including where false information has been provided or these Terms have been violated.

4. Service Description

MakeMake is a marketplace that facilitates connections between Brands and Creators in the Data & AI sector. The Platform allows Brands to post Briefs, review Creator Applications, and approve collaborations. It allows Creators to discover Briefs, apply with a cover note and rate, and manage their public profile.

Important: MakeMake is a marketplace facilitator only. We are not a party to any contract, agreement, or arrangement entered into between a Brand and a Creator. Any Campaign agreement is solely between the Brand and Creator. MakeMake assumes no responsibility for the performance, quality, legality, or outcome of any Campaign or transaction between users.

5. Subscription & Payment

Creator access is free. Creators can register, build a profile, and apply to Briefs at no cost.

Brand access is paid. Brand subscriptions are priced at €199 per month + applicable VAT. Where a free access period applies, the full monthly rate applies automatically once it ends, unless cancelled beforehand.

Founding Brand programme: The first 10 brands accepted onto the founding programme receive 12 months of free access from the date their account is created, with no card required. After that period the standard rate applies, reduced by 50% for the second year for so long as the subscription remains continuously active. Founding places are subject to the participation terms set out when a place is offered.

All payments are processed securely by Stripe. By providing payment details, you authorise MakeMake to charge the applicable fees. All prices are in Euro (€) and exclude VAT unless stated otherwise.

6. Auto-Renewal, Cancellation & Refunds

Brand subscriptions auto-renew monthly on the same date each month unless cancelled before the renewal date. You will receive a reminder email prior to renewal.

You may cancel your subscription at any time from your brand dashboard. Cancellation takes effect at the end of the current billing period — you retain access until that date, and no further charges are made.

Refunds: Except as required by applicable consumer law (see Section 7), subscription fees are non-refundable. Partial-month refunds are not provided. If you believe a charge was made in error, contact us at support@makemakehq.com within 14 days of the charge.

7. EU 14-Day Right of Withdrawal

Under EU consumer law (Directive 2011/83/EU as implemented in Ireland), you may have the right to withdraw from a contract for digital services within 14 days of purchase without giving any reason ("Cooling-Off Period").

However, by accessing the Platform immediately after purchase, you expressly request that we begin providing the digital service before the end of the withdrawal period. You acknowledge that you will lose your right of withdrawal once the service has been fully performed, or in practice, once you begin actively using the Platform features included in your subscription.

If you wish to exercise the right of withdrawal before you have materially used the Platform, contact us at support@makemakehq.com within 14 days of your initial purchase. Where applicable, a proportionate charge for the service already provided may be deducted from any refund.

8. Acceptable Use

You agree not to use the Platform to:

  • Post false, misleading, or fraudulent content, credentials, or campaign details.
  • Harass, threaten, or harm other users.
  • Attempt to bypass or circumvent any security features or access restrictions.
  • Scrape, copy, or systematically extract Platform data without written permission.
  • Use the Platform for any unlawful purpose or in violation of applicable law.
  • Impersonate another person or entity.
  • Introduce malicious code, viruses, or other harmful material.
  • Circumvent the Platform to avoid paying fees (e.g. by concluding deals first found on MakeMake outside the Platform).

MakeMake reserves the right to suspend or terminate accounts that violate these rules without prior notice.

9. User Content & Licence

You retain ownership of any content you submit to the Platform ("User Content"), including your profile, bio, portfolio, brief descriptions, and application notes.

By submitting User Content, you grant MakeMake a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute that content solely for the purpose of operating and promoting the Platform. This licence ends when you delete the content or close your account.

You represent and warrant that your User Content does not infringe the intellectual property, privacy, or other rights of any third party, and that you have all necessary rights to grant the above licence.

10. Intellectual Property

All intellectual property rights in the Platform — including its design, branding, software, text, graphics, logos, and features — are owned by or licensed to MakeMake AI Ltd. Nothing in these Terms transfers any intellectual property rights to you.

The MakeMake name and logo are trade marks of MakeMake AI Ltd. You may not use them without our prior written consent.

11. Platform Role Disclaimer

MakeMake is a technology platform that enables introductions between Brands and Creators. We do not:

  • Guarantee the accuracy, quality, or legitimacy of any Creator profile or Brand brief.
  • Verify that Creators will deliver agreed content on time or to specification.
  • Guarantee that Brands will pay Creators for completed work.
  • Act as employer, agent, or representative of any Brand or Creator.

Any dispute arising from a Campaign is solely between the Brand and Creator. MakeMake is not liable for and expressly disclaims responsibility for any such disputes, losses, or claims.

12. Limitation of Liability

To the maximum extent permitted by Irish and EU law:

  • MakeMake's total liability to you for any claim arising from these Terms or use of the Platform shall not exceed the fees you paid to MakeMake in the three months preceding the claim.
  • MakeMake shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of business opportunity.
  • MakeMake is not liable for Platform downtime, data loss, or failures caused by third-party services (including Stripe, Google, or Resend).

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law, including your rights as a consumer under Irish consumer protection legislation.

13. Termination & Suspension

You may close your account at any time by contacting us at support@makemakehq.com. Closing your account does not entitle you to a refund of any prepaid fees.

MakeMake may suspend or terminate your account immediately and without notice if:

  • You breach any of these Terms.
  • Your account is associated with fraudulent or illegal activity.
  • You provide false information during registration or in your profile.
  • We are required to do so by law or regulatory authority.

On termination, your right to access the Platform ceases immediately. Sections that by their nature should survive termination (including Sections 9, 10, 11, 12, and 14) will continue to apply.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Ireland. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Irish courts, without prejudice to your rights as a consumer under any applicable EU consumer protection directive.

Before initiating formal legal proceedings, we encourage you to contact us at support@makemakehq.com so that we can attempt to resolve the matter informally.

15. EU Online Dispute Resolution

If you are a consumer based in the EU and are unhappy with how we have handled a complaint, you may use the European Commission's Online Dispute Resolution (ODR) platform to seek an out-of-court resolution:

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by a prominent notice on the Platform at least 30 days before the changes take effect (except where changes are required urgently by law).

Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may close your account.
